Director Identification Number (DIN)

DIN is an abbreviation of Director Identification Number used to identify individuals in corporate world. DIN is an eight-digit distinctive number allotted by Central Government to every person who desires to be director in a company. Validity of DIN is for life time subject to cancelation, surrender or deactivation. Duplicate DIN is prohibited under law as only one allotted DIN is used to identify & designate director in different companies or LLPs.
No person shall be appointed as a director in any company unless and until, he or she has been allotted a valid DIN.

How to get a DIN?

DIN through SPIC e-form 

Director Identification Number (DIN) is allotted to proposed First Director who promotes a new company through e-form SPICe. E-form SPICe is used to incorporate a new company and it contains provision of application for allotment of DIN. No separate form or fee, other than of SPICe, is required for DIN, if individual desires to incorporate a company and proposes to be a director.

DIN through Form DIR 3

Director proposed to be appointed in an existing company shall opt to submit DIR 3 for DIN allotment. Form DIN 3 consists of applicant’s identity and address proof along with photograph, email & mobile. Applicant has to sign the form through digital signature and shall be verified by practicing company secretary or Director, Managing Director, or CEO or CFO of the existing company in which applicant intends to be appointed as a director. After prescrutiny of form is done, same is uploaded on MCA portal and fee for DIN is paid. Once payment is successful, DIN is allotted and letter confirming the same is mailed.

How to change or amend details of Director?

In case any change or amendment or correction needs to be done in records of director, it can be done through Form DIN 6. Form DIN -6 is an intimation with regard to change in database of Director and attested copy is supporting documents is must for it.

It is must for every director to intimate DIN within one month from allotment to every company or companies wherein he or she is a director. Further, company, within 15 days of receipt of information, will furnish return to ROC, intimating DIN of all directors.

Quoting of Director Identification Number or DIN is must by every person or company while furnishing any return, document, information, particulars which relates to the director or required by the governing law.

Failing to quote DIN or missing to intimate DIN to company or default by company to furnish details of intimated DIN to ROC will attract penalty.

What is the Director Identification Number (DIN)?
DIN is a unique Identification Number allotted to an individual who is appointed as a director of a company, upon making an application in form DIR-3.
What is the procedure of obtaining DIN?
A person who wants to become a director in a new company is required to apply for DIN only through SPICe form at the time of incorporation. In case a person wants to become a director in the existing company shall have to apply for DIN in eForm DIR-3.
The following is the procedure of obtaining DIN:-
1. Attach the photograph and scanned copy of attested proof of identity and proof of residence.
2. The applicant has to sign Form DIR-3 which shall be verified digitally by a Company Secretary in full-time employment of the company or by the Managing Director or Director or CEO or CFO of an existing company in which the applicant is intended to be appointed as a director.
3. Make the payment of filing fee of eForm DIR-3 through Net banking / Credit Card/Debit Card/Pay later/ NeFT) to process the DIN application.
4. An approved DIN shall be generated in case the details of the eForm have not been identified as potential duplicate. Provisional DIN shall be generated in case the details of the eform have been found as potential duplicate.
5. Verification of eForm: In case, details of eForm DIR-3 are found as potential duplicate, the same gets routed to DIN cell for back-office processing. Upon approval of the form, provisional DIN becomes approved DIN and would be available for further use.
Whether any fee is payable along with the application for allotment of DIN?
Yes, DIN application fee of Rs. 500/- is payable.
Who can sign e- Form DIR-3 and DIR-6?
A person who wants to become a director in a existing company is required to digitally sign the e-Form DIR-3 which shall be verified digitally by the Company Secretary in full time employment of the company or by the Managing Director or Director or CEO or CFO of an existing company in which the applicant is intended to be appointed as director.
The applicant is required to sign digitally e-form DIR-6 If there is any change in the particulars submitted in form DIR-3/SPICe with respect to Directors. For instance, in the event of a change of address of a director, he/she is required to intimate this change by submitting e-form DIR-6 along with the required attested document.
What precautions should be taken while filing Form DIR-3?
Please note that Income Tax PAN is mandatory in case of Indian applicants. Hence applicant details (name, father’s name, date of birth) should match with the PAN details. The particulars entered in form DIR-3 should match with the details provided in supporting documents being submitted with the DIN application. Any mismatch will lead to rejection of DIN application.
What are the grounds for rejection of DIN application?
Some of the common mistakes committed by applicants and on account of which the DIN application gets rejected are as under
Non-submission of supporting documents
The proof of identity of the applicant is not submitted
The proof of the father’s name of the applicant is not submitted
The proof of date of birth of the applicant is not submitted.
The proof of residential address of the applicant is not submitted.
The copy of passport (for foreign nationals) is not submitted
The supporting documents are invalid or expired
The proof of identity submitted has not been issued by a Government Agency
The application/enclosed evidence has handwritten entries
The submitted application is a duplicate DIN application and already one application of that applicant is pending or approved
The submitted application does not have photograph affixed
The signatures are not appended to the prescribed place
The applicant’s name filled in application form does not match with the name in the enclosed evidence
The applicant’s father’s name filled in application form does not match with the father’s name in the enclosed evidence
The applicant’s date (DD/MM/YY) of birth filled in application form does not match with the date of birth in the enclosed evidence
The address details filled in the application do not match with those contained in the enclosed supporting evidence
The gender is not entered correctly in Form DIR-3
Identification number entered in the application does not match with the identity proof enclosed
If enclosed documents are not self-attested.
