Any non-residential Indian can register their company and it is best to invest in a private limited company and limited liability partnerships. These two are convenient investments for NRI because in other cases they have to be a resident of India.

Documents required for registration a private Limited Company

  • Copy of passport
  • Passport sized photograph
  • Proof of address
  • A copy of bank statement/landline/any other utility
  • Business Visa and proof of stay in India
  • Proof of Company’s registered address
  • Copy of utility bill at the company’s registered address
  • NOC for use of residence
  • Amount of Share Capital.
  • Proposed Shareholding Ratio between the promoters.

    Procedure of registration

    Since most of the procedure is done online, a digital signature has to be created and registered. A DIN or Director’s Identification Number, a unique number is allocated to the director of the company after filling the form DIR-3 and approval of the digital signature. The form needs to be signed by a company secretary after payment of fees.

    INC-32 and INC-34 have to be filed online. It usually takes 15-20 days to register a Private Limited Company through SPICe INC-32 (A single application for Reservation of Name, Incorporation of Company and Allotment of DIN), subject to ROC processing time. The application takes 7-9 days for approval.
